ARTICLES OF INCORPORATION
OF
MARINWOOD ASSOCIATION

KNOW ALL MEN BY THESE PRESENTS:

That we the undersigned have this day voluntarily associated ourselves together for the purpose of forming a corporation pursuant to Part 1, Division 2, Title 1 of the Corporations Code.

And we hereby certify:

  1. That the name of said corporation shall be the MARINWOOD ASSOCIATION.

    • (a) The primary purposes for which this corporation is to be formed is to promote the Collective and individual property and civic interests and rights of all persons owning property in that subdivision known as Marinwood in Marin county, California.

    • (b)The general purposes for which said corporation is to be formed are:

      1. To develop a community designed for safe, healthful and organized living.

      2. To aid and cooperate with the members of the Association and all property owners in the enforcement of the conditions, covenants and restrictions on and appurtenant to property on and lived in in the Marinwood area, and to counsel with the Planning Commission and the Supervisors of the County of Marin in relation to zoning laws.

      3. To do any and all necessary things to promote the general welfare the residents and owners of property in Marinwood, including the right to acquire, own, lease and hold such real and personal property as may be necessary or convenient for the transaction of its business and the fulfillment of its purposes and objects.

      4. To promote the theory and practice of good government and good citizenship.

      5. To encourage among the members a closer acquaintance and friendly spirit of mutual co—operation and to arrange social and recreational functions for its members and residents of the Marinwood area.

  2. This corporation is one that does not contemplate pecuniary gain or profit to the members thereof.

  3. That the county in the State of California where the principal office for the transaction of this business is to be located is in the County of Marin, State of California.

  4. That this corporation shall have perpetual existence.

  5. That the names and addresses of the Directors who will act in the capacity of director until of their successors are:

    • Wendell Freeman – 601 Kernberry Dr., San Rafael

    • Donald Frye – 342 Keystone Court, San Rafael

    • Betty Wallace — 265 Adobestcne Ct. San Rafael

    • Richard Smith – 500 Pinewood Dr., San Rafael

    • William Hagens – 500 Cedarberry Lane,. San Rafael

    • Dr. Jacobs – 873 Idyiherry Road, San Rafael

    • George Johnson – 389 Peachstone Terr., San Rafael

    • Harold Jchnston 365 Pinewood Dr., San Rafael

    • Neal Ludford – 555 Idylberry Road, San Rafael

    • Robert Lynn – 206 Emerystone Dr., San Rafael

    • Buel Snyder — 328 Blackstone Drive, San Rafael

    • Austin Turner – 838 Greenberry Lane, San Rafael.

  6. The association shall not have any capital stock; but shall admit members into the Association under and in accordance with the provisions as set forth in the Bylaws.

  7. The Marinwood Association is the name of the unincorporated association which is hereby incorporated.

  8. That the Bylaws of this corporation may be adopted by the Board of Directors and may thereafter be amended or repealed by any means provided in the Bylaws.

IN WITNESS WHEREOF, the persons who have been designated as President and secretary of the above named unincorporated association and who shall continue to act as President and Secretary of this Corporation, have here—unto set their hands this 17th day of October, 1959.

personally appeared WENDELL FREEMAN and BETTY WALLACE, known to me to be the persons whose names are subscribed to the foregoing Articles of Incorporation, and acknowledged to me that they executed the same.

WENDELL FREEMAN and BETTY WALLACE,  being first duly sworn, depose and say:

That we are the President and Secretary, respectively of the “MARINWOOD ASSOCIATION”, an unincorporated association; that we have been duly authorized by the members of the above named association to incorporate said “MARINWOOD ASSOCIATION” and that we have executed the attached Articles of Incorporation by authority of said Association.
